1. About these terms

These Terms of Service govern your use of the Magic Wand Solutions website at magicwand.site and any commercial engagement with Magic Wand Solutions (“MWS”, “we”, “us”). By accessing this site or engaging our services, you agree to these terms.

If you do not agree, please do not use this site or engage our services.

2. Our services

Magic Wand Solutions provides digital marketing and AI consultancy services to businesses, including:

• Strategy and development — brand strategy, web setup, SEO
• Content and automation — AI content engine, on-ground content production, workflow automation
• Workshops — hands-on AI skills programmes for universities and corporate teams

Specific scope, deliverables, timelines, and pricing are agreed per engagement and confirmed in writing (email is sufficient).

3. Engagements and agreements

An engagement begins once both parties have confirmed the scope and price in writing. We do not start work based on verbal agreement alone. Any changes to agreed scope must be confirmed in writing before additional work begins.

4. Payment terms

• All prices are exclusive of Dutch VAT (BTW) unless stated otherwise
• Invoices are due within 14 calendar days of the invoice date unless agreed otherwise in writing
• Project work may require a partial upfront payment before work begins — this will be stated in the proposal
• Late payments may incur statutory interest under Dutch law (Handelsrentewet)

5. Intellectual property

Upon receipt of full payment, all deliverables produced specifically for you become your property.

Magic Wand Solutions retains the right to reference completed work in its portfolio, case studies, and marketing materials. Where identifiable information is used, we will seek your prior written consent. Anonymised references do not require consent.

Any tools, frameworks, methodologies, or templates we develop independently remain the property of Magic Wand Solutions, regardless of whether they were used in your project.

6. Confidentiality

Both parties agree to treat each other’s confidential information with reasonable care and not to disclose it to third parties without written consent, except as required by law. This obligation continues for two years after the end of an engagement.

7. Cancellation and termination

Retainer engagements

Either party may terminate a retainer arrangement with 30 days’ written notice. Work completed up to the termination date is chargeable.

Project-based work

If a client cancels a project after work has begun, we reserve the right to invoice for work completed to date plus 50% of the remaining outstanding scope.

8. Workshops — specific terms

• Workshop fees are due before or on the day of delivery unless otherwise agreed
• Cancellation with more than 7 days’ notice: full refund
• Cancellation with 2 to 7 days’ notice: 50% refund
• Cancellation with less than 48 hours’ notice: no refund
• MWS reserves the right to reschedule in the event of illness or circumstances beyond our control, with full credit applied to the rescheduled date

9. Limitation of liability

Magic Wand Solutions will provide services with reasonable skill and care. However, to the maximum extent permitted by Dutch law:

• We are not liable for any indirect, consequential, or incidental losses arising from our services or the use of our website
• Our total liability for any claim is capped at the total fees paid to us in the three months preceding the event giving rise to the claim
• We are not responsible for the actions, content, or products of any third-party tools or platforms we recommend or integrate

11. Governing law and jurisdiction

These terms are governed by the laws of the Netherlands. Any disputes that cannot be resolved amicably will be submitted to the exclusive jurisdiction of Rechtbank Midden-Nederland (district court, Almere/Utrecht region).

12. Changes to these terms

We may update these terms from time to time. The current version will always be available at magicwand.site/terms. Continued use of our services after an update constitutes acceptance of the revised terms.
